Pivot Equipment operates this store and website, including all related information, content, features, tools, products and services (the “Services”).

Pivot Equipment is powered by Shopify, which enables us to provide the Services to you.

These terms of service, together with any policies referenced herein (the “Terms”), describe your rights and responsibilities when you use the Services.

Please read these Terms carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or Privacy Policy, you should not use or access our Services.

Language - These Terms are available in French and English. In accordance with the Charter of the French Language (CQLR, c. C-11), the French version is the governing version. SECTION 1 - ACCESS AND ACCOUNT

By agreeing to these Terms, you represent that you have reached the age of majority in your province or territory of residence and that you have the legal capacity to enter into a contract.

To use the Services, including browsing our online store or purchasing products, you may be asked to provide certain information such as your email address, billing address, payment information and shipping address. You represent and warrant that all information provided is accurate, current and complete and that you have all rights necessary to provide it.

You are solely responsible for the security of your account credentials and for all activity on your account. You may not transfer, sell, assign or provide access to your account to any other person.

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to accurately present our products. However, colors and product appearance may vary depending on the device used and its settings.

Product descriptions may be modified at any time, without notice, at our sole discretion. We reserve the right to discontinue any product at any time and to limit quantities offered to any person, region or jurisdiction on a case-by-case basis.

This section does not limit the legal warranty of conformity provided under section 40 of the Quebec Consumer Protection Act (CQLR, c. P-40.1), which requires that goods conform to their description.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase. Pivot Equipment reserves the right to accept or decline any order at its discretion. Your order is not accepted until Pivot Equipment confirms acceptance. We must receive and process your payment before your order is accepted.

Please review your order carefully before submitting, as Pivot Equipment may be unable to accommodate cancellation requests after an order is accepted. If we do not accept, modify or cancel an order, we will attempt to notify you using the email, billing address or phone number provided.

Your purchases are subject to return or exchange solely in accordance with our Refund Policy.

SECTION 4 - PRICES AND BILLING

Prices, discounts and promotions are subject to change without notice. The price charged for a product is the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.

Prices posted in our online store may differ from prices in physical stores or in online stores operated by third parties. From time to time we may offer promotions governed by separate terms. In case of conflict, the promotion terms will govern.

You represent and warrant that (i) the payment information you provide is accurate, (ii) you are authorized to use the payment method, (iii) charges will be honored by your financial institution, and (iv) you will pay the amounts due, including applicable taxes and fees.

SECTION 5 - SHIPPING AND DELIVERY

Posted delivery times are estimates and are not guaranteed. Pivot Equipment is not liable for delays caused by carriers, customs processing or events beyond our reasonable control.

In accordance with the Quebec Consumer Protection Act (CQLR, c. P-40.1), when the sale is concluded with a consumer at distance, the risk of loss or damage to the goods remains with Pivot Equipment until actual delivery to the consumer. For B2B or commercial sales, title and risk pass once the products are transferred to the carrier.

SECTION 6 - INTELLECTUAL PROPERTY

SECTION 16 - LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED BY LAW, PIVOT EQUIPMENT, ITS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, AS WELL AS THOSE OF SHOPIFY, SHALL IN NO EVENT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA OR SAVINGS, ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS.

Mandatory reservations. The limitations in this section do not apply (i) to bodily or moral injury caused by Pivot Equipment’s intentional or gross fault (article 1474 of the Civil Code of Quebec), nor (ii) to rights or remedies granted by the Consumer Protection Act. Nothing in this section limits any remedy provided by law in favor of a consumer.

This indemnification obligation does not apply to consumers where it would be contrary to the Consumer Protection Act or the Civil Code of Quebec.

SECTION 19 - WAIVER AND ENTIRE AGREEMENT

Pivot Equipment’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right.

These Terms, including any policies posted on our site, constitute the entire agreement between you and Pivot Equipment and supersede any prior agreement, communication or proposal, whether oral or written.

SECTION 20 - ASSIGNMENT

You may not assign or transfer these Terms or your rights under them without our prior written consent. Pivot Equipment may assign or transfer these Terms to an affiliated company or in connection with a merger, acquisition or sale of assets, by notifying you through a reasonable means.
